Terms of Service

In these Terms of Service (“Terms”):

• “Service” means the NARA platform, including all web applications, APIs, and related services operated by Heka Services Inc.
• “User” means any individual who creates an account on or is invited to the Service.
• “Organization” means a workspace created on the Service, representing a company, team, or entity.
• “Organization Owner” means the User who created the Organization or has been designated as an owner within it.
• “Content” means all data, text, files, messages, tasks, objectives, time entries, and other materials uploaded, created, or transmitted through the Service.
• “AI Features” means the artificial intelligence capabilities of the Service, including suggestions, summaries, analyses, and AI agent functionality.

NARA is an AI-powered business management platform that provides the following integrated modules:

• Task management (Kanban, list, table, calendar, and Gantt views)
• Time tracking (timer, manual entry, timesheets)
• Analytics and reporting (6-tab analytics center with exports)
• Team management (roles, permissions, hierarchical teams)
• OKR and objective tracking (strategic and tactical alignment)
• Integrated messaging (direct, group, and task threads)
• File management (upload, versioning, permissions)
• AI agents and automation (configurable autonomy levels)
• Financial management (optional module, activated by the owner)

The Service operates on a multi-organization architecture. A User may belong to multiple Organizations, each with isolated data protected by Row Level Security.

Creating an account

To use the Service, you must create an account with a valid email address and a strong password meeting our security requirements (10+ characters, uppercase, lowercase, digit, and special character). You are responsible for maintaining the confidentiality of your credentials.

Organizations

After registration, you create or join an Organization. Organization Owners can invite other Users by email, assigning them a role (Admin, Manager, or Employee). A User may belong to multiple Organizations; each Organization is a separate, isolated workspace.

Eligibility

You must be at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

The Service is available under the following plans:

Annual billing is available at a 20% discount. Prices are in US Dollars and exclude applicable taxes. We reserve the right to change pricing with 30 days' advance notice. Existing subscriptions remain at their current price until the next renewal.

Paid plans include a 14-day free trial. No credit card is required to start a trial. If you do not subscribe at the end of the trial, your workspace is moved to the Free plan. No data is deleted.

By using the Service, you agree to:

• Provide accurate and up-to-date information in your account and organization settings.
• Use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
• Not upload, transmit, or store Content that is illegal, defamatory, harassing, or infringing on third-party rights.
• Not attempt to gain unauthorized access to the Service, other accounts, or other Organizations' data.
• Not reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Not use the Service to send unsolicited bulk communications (spam).
• Respect other Users within your Organization and not use the messaging features for harassment or discrimination.
• Keep your credentials secure and notify us immediately if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these obligations, with notice where feasible.

Your Content

You retain all ownership rights to Content you create, upload, or transmit through the Service. By using the Service, you grant us a limited, non-exclusive license to host, store, process, and display your Content solely to provide and improve the Service. This license ends when you delete your Content or your account.

Our platform

The Service, including its design, code, features, documentation, and branding (the “NARA” name and logo), is the exclusive property of Heka Services Inc. and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

Feedback

If you provide suggestions, ideas, or other feedback about the Service, we may use it without restriction or obligation to you. You are never required to provide feedback.

To the maximum extent permitted by applicable law:

• The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.
• AI Features provide suggestions based on available data and should not be treated as professional advice. You are responsible for reviewing and validating AI-generated output before acting on it.
• In no event shall Heka Services Inc. be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
• Our total aggregate liability under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

By you

You may delete your account at any time through your profile settings. Organization Owners may delete their Organization, which permanently removes all associated data after a 30-day grace period.

By us

We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. We will provide reasonable notice (at least 30 days) before discontinuation, except in cases of urgent security concerns or legal requirements.

Effect of termination

Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days to allow recovery, after which it is permanently deleted. Provisions that by their nature should survive termination (intellectual property, limitation of liability, governing law) will continue to apply.

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via email and an in-app notice.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you disagree with the changes, you may terminate your account before the new Terms take effect.

These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or the Service shall be resolved exclusively in the courts of Montreal, Quebec, Canada. You agree to submit to the personal jurisdiction of these courts.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for at least 30 days.

• Entire agreement— These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Heka Services Inc. regarding the Service.
• Severability— If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
• Waiver— Failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment— You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets with notice to you.
